YOU MUST BE AT LEAST 18 YEARS OLD TO USE THE SITES, OR, IF YOU ARE BETWEEN THE AGES OF 13 AND 18, YOU MUST HAVE YOUR PARENT OR GUARDIAN’S PERMISSION TO USE THE SITES AND YOU REPRESENT AND WARRANT THAT YOU HAVE OBTAINED SUCH PERMISSION. CHILDREN UNDER THE AGE OF 13 MAY NOT USE THE SITES OR REGISTER FOR AN ACCOUNT.
Relationship Between Clicks Campus, Instructors, and Students
Clicks Campus provides a platform upon which Instructors may create, offer for sale, and administer Courses to Students in the context of Clicks Campus’s online marketplace. Clicks Campus is neither a Course provider nor an educational institution. Instructors are not employees of Clicks Campus. Clicks Campus is not responsible for interactions between Instructors and Students, with the exception of providing the technological means through which Instructors may broadcast and otherwise make available their Courses and, at each Instructor’s election, for processing payments through payment gateway. Clicks Campus is not liable for any disputes, claims, losses, injuries, or damage of any kind that may arise out of the Instructor/Student relationship, including but not limited to, any Student’s reliance upon any information provided by an Instructor at any time.
Content, Licenses & Permissions
The content on the Sites, including all information, software, technology, data, logos, marks, designs, text, graphics, pictures, audio and video files, other data or copyrightable materials or content, and their selection and arrangement, is referred to herein as “Content.” Content uploaded, transmitted, or posted by Users, whether they are Instructors or Students, is referred to herein as “User Content.”
the Sites are accessed, and all rights to the Sites, such Content, and such software are expressly reserved. All trademarks and service marks, whether registered or unregistered, as well as product names and company names or logos, displayed or mentioned on the Sites are the property of their respective owners. Reference to any products, services, processes, or other information, by trade name, trademark, manufacturer, supplier, or otherwise does not constitute or imply endorsement, sponsorship, or recommendation thereof by Clicks Campus.
Your User Content is your responsibility. Clicks Campus does not control or monitor User Content and, as such, does not guarantee in any manner the content, reliability, validity, accuracy, or truthfulness of such User Content, including but not limited to Content presented through the Courses. By using the Services, you may be exposed to User Content that you consider offensive, indecent, or objectionable. Clicks Campus has no responsibility to keep such content from you and no liability for your access or use of any User Content to the extent permissible by law. Although we have no obligation to do so, we have the absolute discretion to remove, screen, or edit without notice any User Content posted or stored on the Sites, and we may do this at any time and for any reason. You are solely responsible for maintaining copies of and replacing any User Content you post or store on the Sites.
Clicks Campus’s Limited License for Use of the Services
Clicks Campus grants you a limited, non-exclusive license to access and use the Services for your own personal and commercial purposes. This license is personal to you and may not be assigned or sublicensed to anyone else. Except as expressly permitted by Clicks Campus in writing, you will not reproduce, redistribute, sell, create derivative works from, decompile, reverse engineer, or disassemble the Services. Nor will you take any measures to interfere with or damage the Services. All rights not expressly granted by Clicks Campus are reserved.
Your Limited License of Your User Content to Clicks Campus
If your User Content is intended for the use by other Users, you also grant us and our affiliates and subsidiaries a non-exclusive, royalty-free, transferable right to sublicense such User Content
to such Users for their use in connection with their use of the Sites, as described in the section titled Our Limited License of Content to Users.
Clicks Campus’s Limited License of Content to Users
Users may only view and download (if allowed) such portions of the Content for their own use;
Users may not remove or modify any copyright, trademark, or other proprietary notices that have been placed in the Content;
Users may not use any data mining, robots, or similar data gathering or extraction methods; and Users may not use the Sites or Content other than for their intended purposes.
The security of your submitted content and Instructor information is important to us. Clicks Campus employs procedural and technological measures to protect your Instructor's identifiable information. These measures are reasonably designed to help protect your Instructor's identifiable information from loss, unauthorized access, disclosure, alteration or destruction. We may use software, secure socket layer technology (SSL) encryption, password protection, firewalls, internal restrictions and other security measures to help prevent unauthorized access to your instructor’s proprietary information.
Clicks Campus provides following security measures and policies to ensure privacy and protection of Instructor’s content data:
All users have to be first authorized by Clicks Campus though student enrolment form which is accessible through Clicks Campus’s admin account. Only those users who are authorized by Clicks Campus are provided access to Clicks Campus web site, app or products.
All submitted content by Instructors are stored in highly secure datacentre and servers.
We use secure industry standards like https and SSL to transmit content between Clicks Campus servers and user devices.
Users will be restricted to access content from maximum of one device by default.
Clicks Campus may charge Instructors fees to access certain features and functionalities of the Sites and the Services set to a multi-tiered subscription structure, described on our Pricing page. In turn, Instructors may charge Students certain fees for access to their respective Courses. Each
User shall pay all fees and charges incurred through its respective account and billed to the User at the rates in effect for the pay period in which such fees and charges are incurred, and such User is solely responsible for payment. All paid plans are set to automatically charge at the beginning of each billing period unless you submit a cancellation request to us in writing via email or through our support form. If a User provides credit or debit card information to pay for the fees, that User represents and warrants that it is authorized to supply such information and authorizes Clicks Campus to charge that payment method on a regular basis to pay the fees as they come due. Each User shall pay all applicable taxes relating to its use of the Services and other products or services through its accounts. A User will not be allowed access to any portion of the Sites, the Services, or its content for which a prepaid fee is required unless and until Clicks Campus receives all fees and charges payable by that User. If a User’s payment method fails or its account is past due, then Clicks Campus may collect fees owed using other collection mechanisms, which may include charging other payment methods on file with Clicks Campus and/or retaining collection agencies or legal counsel.
Cancellation and Deletion Cancellation
If you cancel a paid plan (Course Featuring), the cancellation will become effective at the end of the then-current billing cycle. When you cancel a paid plan, your account will revert to a Free account and Clicks Campus may disable access to features available only to paid plan users.
You may delete your account at any time. Accounts on the Free plan may be deleted from the Sites if they remain inactive (i.e., the user fails to log in) for a continuous period of at least six (6) months. Accounts on paid plans will remain active unless you explicitly ask us to delete it when you cancel your paid plan. Upon termination, all licenses granted by Clicks Campus will terminate. In the event of account deletion for any reason, your course content may no longer be available. Clicks Campus shall not be responsible for the loss of such content.
Use of Interactive Areas and the Sites
The Sites may contain discussion forums, bulletin boards, review services, or other forums in which Users or third parties may post content, messages, materials, reviews, or other items on the Sites (“Interactive Areas”). You are solely responsible for your use of such Interactive Areas and use them at your own risk. User Content submitted to any public area of the Sites is non- confidential. By using any Interactive Areas, you expressly agree not to post, upload to, transmit, distribute, store, create, or otherwise publish through the Sites any of the following:
Any message, data, information, text, music, sound, photos, graphics, code, or other material that is unlawful, libellous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, or fraudulent;
Content that would constitute, encourage, or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any applicable federal, state, or local law;
Content that may infringe any patent, trademark, trade secret, copyright, or other intellectual property or proprietary right of any party;
Content that impersonates any person or entity or otherwise associates, infers, or misrepresents
the User’s affiliation with a person or entity;
Any tool or service that imports content from any platform that prohibits such services from accessing its platform for this purpose.
Unsolicited promotions, political campaigning, advertising, or solicitations;
Private information of any third party, including, without limitation, addresses, phone numbers, email addresses, and credit card numbers, unless that third party has expressly consented to such use and disclosure;
Viruses, corrupted data, or other harmful, disruptive, or destructive files;
Content that is unrelated to the topic of the Interactive Area(s) in which such Content is posted, in Clicks Campus sole determination; and
Content that, in Clicks Campus sole judgment, is objectionable or which restricts or inhibits any other person from using or enjoying the Interactive Areas or the Sites, or which may expose Clicks Campus or its affiliates or Users to any harm or liability of any kind.
Finally, Clicks Campus has a zero-tolerance policy towards unsolicited email or messages, commonly referred to as “spam.” Users may not use the Interactive Areas or the Sites generally to send commercial or other messages to any third-party, within or outside of the Sites, if those messages are not solicited, authorized, or welcomed by the third-party, and in using the Sites, Users must comply with all applicable laws, including laws that apply in any jurisdiction, to spam and marketing practices, and with any applicable marketing association guidelines on ethical marketing practices.
Users may not engage in any activity on or through the Sites, including transmitting or using User Content, that infringes or otherwise makes unauthorized use of another party’s copyright, trademark, or other intellectual property or proprietary rights. If You believe that Submitted Content of Yours violates any law or regulation or is inaccurate or poses any risk whatsoever to a third party it is Your responsibility to take such steps You deem necessary to correct the situation. If You believe that Submitted Content of a third party or any Company Content violates any laws or regulations, including, without limitation, any copyright laws, you should report it by emailing us at firstname.lastname@example.org
LIMITATION OF LIABILITY
Governing Law and Jurisdiction; Disputes and Arbitration
ANY PORTION THEREOF; (E) YOUR USE OF THE SITES; AND (F) YOUR USE OF ANY EQUIPMENT OR SOFTWARE IN CONNECTION WITH THE SITES.

As an instructor, you are contracting directly with Clicks Campus, (Clicks Talent Connect Pvt Ltd, operating from First Floor, Hebron Tower9, Old Madras Road, Sannathammanahalli, Bhattarahalli, Bengaluru – 560049).
As an instructor, you are responsible for all content that you share with the IT team of Clicks Campus to post, including lectures, quizzes, coding exercises, practice tests, assignments, resources, answers, course landing page content, labs, assessments, and announcements ("Submitted Content").
You represent and warrant that:
you will provide and maintain accurate account information;
you have the required qualifications, credentials, and expertise (including education, training, knowledge, and skill sets) to teach and offer the services that you offer through your Submitted Content and use of the Services; and
you will ensure a quality of service that corresponds with the standards of your industry and instruction services in general.
You warrant that you will not:
post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libelous content or information;
post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services or to any user;
use the Services for business other than providing tutoring, teaching, and instructional services to students;
engage in any activity that would require us to obtain licenses from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work or sound recording;
frame or embed the Services (such as to embed a free version of a course) or otherwise circumvent the Services;
impersonate another person or gain unauthorized access to another person's account;
interfere with or otherwise prevent other instructors from providing their services or content; or abuse Clicks Campus resources, including support services.
Unless otherwise agreed (including within our Promotions Policy), you have the right to remove all or any portion of your Submitted Content from the Services at any time. Except as otherwise agreed, Clicks Campus's right to sublicense the rights in this section will terminate with respect to new users 90 days after the Submitted Content's removal. However, (1) rights given to students before the Submitted Content's removal will continue in accordance with the terms of those licenses (including any grants of lifetime access) and (2) Clicks Campus's right to use such Submitted Content for marketing purposes shall survive termination.
We may record and use all or any part of your Submitted Content for quality control and for delivering, marketing, promoting, demonstrating, or operating the Services. You grant Clicks Campus permission to use your name, likeness, voice, and image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the Services, your Submitted Content, or Clicks Campus's content, and you waive any rights of privacy, publicity, or other rights of a similar nature, to the extent permissible under applicable law.
You agree to abide by Clicks Campus's Trust & Safety policies, Restricted Topics policy, and other content quality standards or policies prescribed by Clicks Campus from time to time. You should check these policies periodically to ensure that you comply with any updates to them. You understand that your use of the Services is subject to Clicks Campus's approval, which we may grant or deny at our sole discretion.
We reserve the right to remove content, suspend payouts, and/or ban instructors for any reason at any time, without prior notice, including in cases where:
content falls below our quality standards or has a negative impact on the student experience;
an instructor engages in behaviour that might reflect unfavourably on Clicks Campus or bring Clicks Campus into public disrepute, contempt, scandal, or ridicule;
an instructor engages the services of a marketer or other business partner who violates Clicks Campus's policies;
an instructor uses the Services in a way that constitutes unfair competition, such as promotion of their off-site business in a way that violates Clicks Campus's policies; or
as determined by Clicks Campus in its sole discretion.
The Clicks Campus platform allows you to add other users as co-instructors or teaching assistants for Submitted Content that you manage, and you are required to comply with our Co-Instructor Relationship Rules and Guidelines when taking such actions. By adding a co-instructor or teaching assistant, you understand that you are authorizing them to take certain actions that affect your Clicks Campus account and Submitted Content. Violations of Clicks Campus's terms and policies by your co-instructor or teaching assistant may also impact your Clicks Campus account and Submitted Content. Clicks Campus is not able to advise on any questions or mediate any disputes between you and such users. Clicks Campus shall not process any revenue shared for co- instructors as this is going to be complete internal understanding between you and your co- instructors.
Instructors don't have a direct contractual relationship with students, so the only information you'll receive about students is what is provided to you through the Services. You agree that you will not use the data you receive for any purpose other than providing your services to those students on the Clicks Campus platform, and that you won't solicit additional personal data or store students' personal data outside the Clicks Campus platform. You agree to indemnify Clicks Campus against any claims arising from your use of students' personal data.
We partner with anti-piracy vendors to help protect your content from unauthorized use. To enable this protection, you hereby appoint Clicks Campus and our anti-piracy vendors as your agents for the purpose of enforcing copyrights for each of your content, through notice and takedown processes and for other efforts to enforce those rights. You grant Clicks Campus and our anti-piracy vendors primary authority to file notices on your behalf to enforce your copyright interests.
You agree that Clicks Campus and our anti-piracy vendors will retain the above rights unless you revoke them by sending an email to email@example.com with the subject line: "Revoke Anti- Piracy Protection Rights" from the email address associated with your account. Any revocation of rights will be effective 72 hours after we receive it.
When creating Submitted Content available for purchase on Clicks Campus, you will be prompted to select a Course price ("Base Price") for your Submitted Content. Course price shall be fixed between minimum and maximum price range given by Clicks Campus. Alternatively, you may choose to offer your Submitted Content for free in the Knowledge section of the app.
You give us permission to share your Submitted Content for free with our employees, with selected partners, and in cases where we need to restore access to accounts who have previously purchased your Submitted Content. You understand that you will not receive compensation in these cases.
If a student purchases a product or service in a country that requires Clicks Campus to remit national, state, or local sales or use taxes, GST or other similar transaction taxes ("Transaction Taxes"), under applicable law, we will collect and remit those Transaction Taxes to the competent tax authorities for those sales. We may increase the sale price at our discretion where we determine that such taxes may be due. For purchases through mobile applications, applicable Transaction Taxes are collected by the mobile platform (such as Apple's App Store or Google Play).
Clicks Campus offers several optional marketing programs (Promotional Programs) in which you can choose to participate, as detailed in our Promotions Policy. These programs can help increase your revenue potential on Clicks Campus by finding the optimal price point for your Submitted Content and offering them through subscriptions collections. You can modify your participation status at any time, though changes you make will not apply to currently active campaigns and certain programs may have additional requirements on termination. There is annual up-front cost to feature the course and upfront cost for addons.
When a student purchases your Submitted Content, the amount received by Clicks Campus after payment gateway charges are deducted is considered for Revenue sharing and it is termed as Gross amount. From this amount, we subtract any Transaction Taxes, any mobile platform fees applied to mobile provider checkout sales, and any amounts paid to third parties in connection with the Promotional Programs to calculate the net amount of the sale ("Net Amount"). Tax shall be deducted at source.
If we change this revenue sharing rate, we will provide you 30 days notice using prominent means, such as via email or by posting a notice through our Services.
Clicks Campus makes all instructor payments in Indian Rupees (INR ₹) regardless of the currency with which the sale was made. Clicks Campus is not responsible for your foreign currency conversion fees, wiring fees, or any other processing fees that you may incur. Your revenue report will show the sales price (in local currency) and your converted revenue amount (in INR).
The Clicks Campus platform allows you to generate coupon codes and referral links to offer certain items of your Submitted Content to students at a discount, at Clicks Campus's current price, or for free, as permitted within the Services. These coupon codes and referral links are subject to limits, and you may not sell them on third-party websites or otherwise offer them in exchange for compensation.
For us to pay you in a timely manner, you must own the account in any of the RBI licenced Banks in India (for Indian residents only) in good standing and must keep us informed of the correct email associated with your account. You must also provide any identifying information or tax documentation (such as PAN Card / GST Certificate) necessary for payment of amounts due, and you agree that we have the right to withhold appropriate taxes from your payments. We reserve the right to withhold payments or impose other penalties if we do not receive proper identifying information or tax documentation from you. You understand and agree that you are ultimately responsible for any taxes on your income.
Depending on the applicable revenue share model, payment will be made within 45 days of the end of the month in which we receive the fee for a course in case of recorded courses. In case of live courses, the payment shall be settled only after course completion.
As an instructor, you are responsible for determining whether you are eligible to be paid by an Indian company. We reserve the right not to pay out funds in the event of identified fraud, violations of intellectual property rights, or other violations of the law. If we cannot settle funds into your payment account after the period of time set forth by your state, country, or other government authority in its unclaimed property laws, we may process the funds due to you in accordance with our legal obligations, including by submitting those funds to the appropriate government authority as required by law.
While you are a published instructor and subject to the requirements below, you may use our trademarks where we authorize you to do so.
only use the images of our trademarks that we make available to you, as detailed in any guidelines we may publish;
only use our trademarks in connection with the promotion and sale of your Submitted Content available on Clicks Campus or your participation on Clicks Campus; and
immediately comply if we request that you discontinue use.
You must not:
use our trademarks in a misleading or disparaging way;
use our trademarks in a way that implies that we endorse, sponsor, or approve of your Submitted Content or services; or
use our trademarks in a way that violates applicable law or in connection with an obscene, indecent, or unlawful topic or material.
Instructions on how to delete your instructor account are available here. We'll use commercially reasonable efforts to make any remaining scheduled payments that are owed to you before deleting your account. You understand that if students have previously enrolled in your Submitted Content, your name and that Submitted Content may remain accessible to those students after your account is deleted. If you need help or encounter difficulty deleting your account, you can contact us via our Support team by sending an email to firstname.lastname@example.org
From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and Clicks Campus reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If we make any material change, we will notify you using prominent means such as by email notice sent to the email address specified in your account or by posting a notice through our Services. Modifications will become effective on the day they are posted unless stated otherwise.
Your continued use of our Services after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.
Any version of these Terms in a language other than English is provided for convenience and you understand and agree that the English language will control if there is any conflict.
You and we agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.
The following sections shall survive the expiration or termination of these Terms: Sections 2 (License to Clicks Campus), 3.3 (Relationship to Other Users), 5.3 (Receiving Payments), 5.4 (Refunds), 7 (Deleting Your Account), and 8 (Other Legal Terms).
